1. Introduction

Download Youth Ministry ("DYM," "we," "us," or "our") is operated by RTC Holdings Inc., a California corporation, doing business as Download Youth Ministry. These Terms & Conditions ("Terms") govern your access to and use of downloadyouthministry.com (the "Site") and the digital resources, curriculum, subscriptions, and other products and services made available through it (collectively, the "Services"). By accessing the Site, creating an account, or purchasing any Services, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

2. Eligibility & Accounts

You must be at least 18 years old, or the age of majority in your jurisdiction, to purchase Services or create an account. If you are creating an account on behalf of a church, ministry, school, or other organization, you represent that you have authority to bind that organization to these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3. Products & Services

DYM offers both one-time digital downloads (such as curriculum, lessons, games, videos, and other media) and paid subscriptions or memberships that provide ongoing access to a library of resources. Descriptions of specific products, pricing, and what is included with any subscription tier are provided on the Site at the time of purchase and may change from time to time.

4. License to Use Downloaded Content

Subject to your compliance with these Terms and payment of all applicable fees, DYM grants you a limited, non-exclusive, non-transferable, non-sublicensable license to download, print, and use purchased or subscription-accessed content solely for use within a single church, ministry, school, or organization's own youth programming. Unless a product listing or a separate written agreement expressly states otherwise, you may NOT:

(i) resell, redistribute, share, or make available any downloaded content to other churches, organizations, or individuals outside your own organization; (ii) post downloaded content publicly on the internet or on any file-sharing or third-party platform; (iii) remove any copyright, trademark, or attribution notices from the content; (iv) use the content to create a competing product or service; or (v) claim authorship of DYM content. All content remains the intellectual property of RTC Holdings Inc. or its licensors, and no ownership rights are transferred to you by virtue of a purchase or subscription.

5. Payment, Billing & Subscriptions

All prices are listed in U.S. dollars unless otherwise noted and are due at the time of purchase. For subscriptions or memberships, you authorize DYM (or its payment processor) to automatically charge your payment method on each renewal date at the then-current subscription price until you cancel. We will provide reasonable advance notice before any price increase takes effect for existing subscribers where required by law. You may cancel a subscription at any time through your account settings or by contacting us; cancellation will take effect at the end of the current billing period unless otherwise stated, and no partial-period refunds will be issued except as described in Section 6 or as required by law.

6. Returns, Refunds & Cancellations

Because our digital products are delivered electronically and are typically accessible immediately upon purchase, all sales of individual digital downloads are generally final and non-refundable once the content has been accessed or downloaded, except where required by law or as otherwise stated in a specific product listing. If you believe you were charged in error, experienced a technical issue preventing access to purchased content, or have a subscription billing concern, please contact us at support@downloadyouthministry.com and we will work with you in good faith to resolve it.

7. Acceptable Use

You agree not to use the Site or Services to: (i) violate any applicable law or regulation; (ii) infringe the intellectual property, privacy, or other rights of any third party; (iii) upload or transmit viruses, malicious code, or other harmful material; (iv) attempt to gain unauthorized access to the Site, other user accounts, or DYM's systems; (v) scrape, data-mine, or use automated means to access the Site without our prior written consent; or (vi) post or transmit content that is unlawful, defamatory, obscene, harassing, or otherwise objectionable. We reserve the right to suspend or terminate access to the Site or any account, without notice, for conduct that we believe violates these Terms or is otherwise harmful to DYM, other users, or third parties.

8. Intellectual Property

The Site and all content on it — including text, graphics, logos, curriculum, videos, software, and the compilation and arrangement thereof — are owned by RTC Holdings Inc. or its licensors and are protected by U.S. and international copyright, trademark, and other intellectual property laws. Except for the limited license granted in Section 4, nothing in these Terms grants you any right, title, or interest in DYM's intellectual property.

9. Third-Party Links

The Site may contain links to third-party websites or services that are not owned or controlled by DYM. We are not responsible for the content, policies, or practices of any third-party sites, and inclusion of a link does not imply endorsement.

10. Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. DYM DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY CONTENT WILL MEET YOUR SPECIFIC PROGRAMMING NEEDS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RTC HOLDINGS INC., ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES. RTC HOLDINGS INC.'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO DYM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless RTC Holdings Inc., its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your violation of these Terms or misuse of the Services.

13. Changes to These Terms

We may update these Terms from time to time. The "Last Updated" date above reflects the most recent revision. Continued use of the Site or Services after changes are posted constitutes your acceptance of the revised Terms.

14. Termination

We may suspend or terminate your access to the Site or any account at any time, with or without cause. Sections of these Terms that by their nature should survive termination (including Sections 4, 8, 10, 11, and 12) will survive.

15. Governing Law & Disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in California, and you consent to the personal jurisdiction of those courts.
